Terms of Service

Last updated: 18 August 2026

1. Agreement to terms

By engaging CodeSync Systems (“CodeSync”, “we”, “us”) to design, build, or maintain software, or by using our website, you agree to these Terms of Service. If you are entering into an engagement on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Services

Project-specific scope, deliverables, timelines, and fees are defined in a separate written proposal or statement of work (“SOW”) agreed with each client or partner. These Terms govern the relationship generally; the SOW governs the specifics of any individual engagement, and controls in the event of conflict.

3. Fees and payment

Fees are billed according to the schedule in the applicable SOW, typically in milestone or bi-weekly instalments. Invoices are due within 14 days of issue unless otherwise agreed. Late payment may result in pausing delivery until the account is current.

4. Intellectual property

Unless the SOW states otherwise, ownership of custom code and deliverables built for a client transfers to that client upon final payment. CodeSync retains ownership of pre-existing tools, internal frameworks, and know-how used to deliver the work, and may reuse general-purpose components across engagements.

5. Agency and reseller engagements

Where CodeSync delivers work on behalf of an agency or reseller partner for that partner’s end client, the partner is our contracting counterparty. CodeSync will not contact the end client directly except where the partner requests it in writing, and confidentiality regarding the partner’s client relationships is maintained as described in Section 7.

6. Warranties and liability

We warrant that services are performed with reasonable skill and care consistent with industry practice. Except as set out in the SOW, our liability for any claim arising from an engagement is limited to the fees paid for that engagement in the preceding three months. We are not liable for indirect or consequential losses.

7. Confidentiality

Both parties agree to keep confidential information disclosed during an engagement private, and to use it only for the purposes of that engagement, for a period of three years following disclosure.

8. Termination

Either party may terminate an engagement in accordance with the notice period specified in the SOW. Fees for work completed up to the termination date remain payable.

9. Governing law

These Terms are governed by the laws of the jurisdiction specified in the applicable SOW. Disputes will first be addressed through good-faith negotiation before any other remedy is pursued.
